These Customer Terms of Service (hereinafter "these Terms") are intended to stipulate the rights and obligations arising from the contractual relationship between Sherpas Inc. (hereinafter "the Provider") and customers who wish to use the services (hereinafter "the Customer") in connection with the use of the cloud-based asset management solution "SMPLY" and additional services (hereinafter "the Service") provided by the Provider, as well as other necessary basic matters.
The definitions of terms used in these Terms are as follows:
"Service" refers to the cloud-based asset management solution "SMPLY" and additional services provided by the Provider. (URL: https://www.smply.app)
"Provider" refers to the business operator providing the Service, which in these Terms refers to Sherpas Inc.
"Customer" refers to an individual, sole proprietor, or corporate entity that enters into a paid or free service agreement with the Provider according to the application procedures stipulated in these Terms and uses the Service.
"Free Trial" refers to the Service provided by the Provider without receiving compensation to allow Customers to experience the Service for a certain period before subscribing to paid services.
"Paid Service" refers to services among those provided by the Provider that can be used when fees are paid on a usage period basis according to the Customer's scale and required functions.
"Recurring Payment" refers to a payment method that automatically charges a pre-registered payment method on a specific date to repeatedly transact "Paid Services" under certain timing and conditions.
"Service Agreement" refers to an individual contract mutually agreed upon between the Provider and the Customer for the use of Paid Services.
"Super Administrator" refers to an administrator designated by the Customer who can approve users' service use and grant individual accounts. The Customer's initial membership registration account is designated as the Super Administrator, and this can be changed by proceeding with authority changes for new users thereafter.
"User" refers to members (including Super Administrators and members) who use the Customer's service.
"Customer Data" refers to information owned or managed by the Customer that is stored by the Customer and Users in the Provider's information and communication resources in the form of submission, recording, transmission, uploading, etc.
"User Information" refers to information that can identify specific Users using the Service, such as personal information including names, email addresses, and phone numbers.
"Payment Information" refers to information related to payment in connection with the payment of service usage fees by Customers using Paid Services, including payment methods and payment history.
"Individual Terms" refers to documents distributed or published by the Provider under names such as 'Terms', guide documents, 'Policies', or 'Guidelines' separately from these Terms regarding the Service.
The Provider shall post the contents of these Terms and Individual Terms, as well as the Provider's business name, company address, representative's name, business registration number, and contact information on the initial service screen of the website operated by the Provider so that Customers can easily access them. However, the contents of the Terms may be arranged so that Customers can view them through a linked screen.
